Affiliate Program Terms

1. Program scope

The Novo Pharma Affiliate Program (the "Program") allows approved partners to earn commissions on orders placed through their unique referral link or referral code. By submitting an application, you enter into a legally binding agreement with Novo Pharma ("we", "us", "Novo").

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract in your jurisdiction. You must operate at least one public content channel (TikTok, Instagram, YouTube, Reddit, podcast, or equivalent) and provide proof of that channel on request.

Novo reserves the right to reject any application for any reason. Approval is at our discretion.

3. Commissions

Commissions are paid at the rate associated with your current tier: Copper 12%, Silver 15%, Gold 18% of the order subtotal (excluding taxes, shipping, refunds, and any customer-facing discounts). Tiers are reviewed monthly based on referred-order volume.

A commission becomes "approved" 30 days after the associated order is placed, provided no refund, chargeback, or fraud flag has occurred. Approved commissions are paid in the next scheduled batch.

Commissions may be "clawed back" if the underlying order is refunded, partially refunded, or reversed at any point. You are responsible for repaying any clawed-back commissions; we reserve the right to deduct from future payouts.

4. Attribution

Referrals are tracked using a last-click cookie (60/90/120 days depending on tier) and a referral-code fallback. A referral is credited to you if (a) the customer clicked your link within the cookie window before placing an order, or (b) the customer applied your referral code at checkout.

We do not guarantee any specific attribution outcome. Browsers, privacy tools, and cross-device behaviour may prevent tracking.

5. Payouts

Payouts are processed weekly (Saturdays, 10:00 a.m. Pacific) for affiliates whose approved balance meets the tier minimum:

• Copper: 0.001 BTC / 0.02 ETH / $50 USDT / $70 CAD e-Transfer
• Silver: 0.0005 BTC / 0.01 ETH / $25 USDT / $35 CAD e-Transfer
• Gold: no minimum

You are responsible for providing and verifying your payout destination (crypto wallet or e-Transfer email). Novo is not responsible for funds sent to incorrect, mistyped, or compromised destinations.

Commissions held beyond 60 days without meeting the minimum will be paid out regardless in the next batch.

6. Prohibited content

You may not:

• Make medical, therapeutic, or curative claims about our products.
• Promote to persons under 18.
• Promote to pregnant individuals or target populations with known contraindications.
• Use paid search advertising bidding on Novo Pharma trademarks.
• Engage in spam, bulk email, or unsolicited outreach.
• Use cookie-stuffing, iframe injection, or other technical fraud.
• Refer your own purchases or collude with other affiliates to inflate commissions.
• Offer cash rebates or kickbacks to customers for using your code.

Violation of any provision above may result in immediate suspension and forfeiture of all unpaid commissions.

7. Tax obligations

Affiliates are independent contractors. You are solely responsible for all taxes owing on commission income, including reporting it to the appropriate tax authority.

For Canadian affiliates who earn $500 CAD or more in a calendar year, we will issue a T4A slip and file the equivalent with the Canada Revenue Agency by January 31 of the following year. You must provide a valid Social Insurance Number or business number to receive payouts above this threshold.

8. Termination

Either party may terminate this agreement with 30 days' written notice. Novo may terminate immediately for any violation of these terms, fraud, or any activity that, in our reasonable judgment, damages our brand or exposes us to legal risk.

On termination, all pending commissions older than 30 days are paid out; commissions under 30 days are paid if the order is not refunded in that window. All tracking links are disabled.

9. Liability and indemnification

You agree to indemnify and hold Novo Pharma harmless from any claim, loss, or damage arising out of your promotion of our products, including regulatory claims, customer disputes, and intellectual property claims related to your content.

Novo's total liability under this agreement is limited to the total commissions paid to you in the 12 months preceding the claim.

10. Changes to these terms

We may update these terms at any time with 30 days' notice via email. Continued participation after the effective date constitutes acceptance.

11. Governing law

This agreement is governed by the laws of Canada. Disputes will be resolved in Canadian courts of competent jurisdiction.
